CM Referrer Agreement

1. Role Definition

A CM Referrer is the person who introduced a Country Manager to the VitaeGene platform. This is a commission-beneficiary role only — CM Referrers do not manage Country Managers operationally.

One Country Manager can have only one CM Referrer. One CM Referrer can introduce many Country Managers.

2. Commission Structure

CM Referrers receive a 0.5% commission from all eligible sales generated by the Country Managers they introduced.

Subscription and product commissions are calculated on net revenue after deduction of a 4.5% gateway fee. Advertising commissions are calculated on the gross advertising fee with no gateway deduction.

3. Wellness Mall Advertising Commission

CM Referrers who directly introduce a business or advertiser to purchase advertising within the VitaeGene Wellness Mall receive 10% of the advertising fee paid. This is paid to the direct introducer only — no CM network override applies. Subject to 30-day holding period. Reversed on refund or chargeback.

I understand that Wellness Mall Advertising Commissions are paid at 10% of advertising revenue generated by businesses I directly introduce.

4. Commission Rules

CM Referrer commissions are based on the total sales generated by all Country Managers assigned to that CM Referrer. The CM Referrer earns 0.5% regardless of affiliate tier depth.

CM Referrer commission is always subordinate to CM commission — if no Country Manager earns from a sale, no CM Referrer earns from that sale either.

5. Network Ownership Rules

CM Referrer commission is based on CM assignment ownership, not affiliate tier depth. The CM Referrer receives 0.5% regardless of whether the sale comes from Tier 1, Tier 2, Tier 3, or any deeper level within their assigned CMs' networks.

6. Historical Ownership Lock

Historical commissions remain with the original CM Referrer at the time of sale. If CM-to-CMR assignment is changed later by administration:

  • Historical transactions remain with the original CM Referrer
  • Only future transactions follow the new ownership assignment
  • The commission engine never recalculates or reassigns previously earned commissions

7. Financial Terms

  • All commissions have a 30-day holding period before becoming withdrawable
  • Refunded or charged-back transactions reverse related commissions
  • Duplicate commissions are not allowed

8. Obligations

CM Referrers must:

  • Follow all applicable local laws and regulations
  • Avoid misleading claims about VitaeGene products or services
  • Protect customer and affiliate data
  • Support the Country Managers they introduced
  • Report compliance issues to Administration

9. Termination

CM Referrer status may be revoked by Administration for policy violations, fraud, or misconduct. All pending commissions will be reviewed upon termination.
