Staff Sales Representative Agreement

1. Programme Overview

The Staff Sales Representative Programme is a separate commission programme operated by Serendib Fortunes Pvt Ltd ("the Company") for appointed Staff Sales Representatives. This programme is entirely separate from the VitaeGene Affiliate Programme, Practitioner Programme, Country Manager Programme, Local Agent Programme, and CM Referrer Programme. Rates, rules, and wallet structures under this programme do not affect and are not affected by any other VitaeGene commission programme.

2. Appointment

Staff Sales Representatives are appointed by VitaeGene Administration. Appointment is subject to approval and may be revoked for policy violations, misconduct, or target failure.

3. Subscription & Credit Top-Up Commission Structure

Staff Sales Representatives earn tiered commissions on subscriptions and credit top-ups referred through their unique referral code. Commissions are calculated on net revenue after deduction of a 4.5% gateway fee.

Applies to: Monthly subscriptions, Annual subscriptions, Credit top-ups.

Example — $9.99 monthly subscription:

• Gateway fee (4.5%): $0.45
• Net revenue (commissionable base): $9.54
• Tier 1 commission (6%): $0.57
• Tier 2 commission (1%): $0.10
• Tier 3 commission (0.5%): $0.05

4. Wellness Mall Advertising Commission

Staff Sales Representatives who directly introduce a business, wellness brand, clinic, service provider, retailer, manufacturer, or advertiser to purchase advertising within the VitaeGene Wellness Mall earn an 8% direct referral commission on the gross advertising fee paid. No gateway fee deduction applies to advertising commissions.

Advertising commission rules:

• Paid to the direct introducer only — no Tier 2, Tier 3, or override commissions
• No network, territory, or hierarchy override applies
• Commission = 8% of gross advertising fee (no gateway fee deduction)
• Subject to 30-day holding period
• Reversed in full on advertising fee refund or chargeback
• Subject to fraud review

I understand that Wellness Mall Advertising Commissions for Staff Sales Representatives are paid at 8% of advertising revenue generated by businesses I directly introduce, to me as direct introducer only.

5. VitaeGene Shop Product Sales Commission

Staff Sales Representatives earn tiered commissions on VitaeGene Shop product sales referred through their unique referral code. Commissions are calculated on net revenue after deduction of a 4.5% gateway fee.

Applies to: VitaeGene supplements, wellness packs, bundle sales, and future VitaeGene Shop products.

6. Financial Terms

30-Day Holding Period

All commissions enter a pending status for 30 days from the transaction date before becoming available for withdrawal. This holding period applies to all commission types (subscriptions, top-ups, advertising, and product sales).

Refund Reversal

If a transaction is refunded within or after the holding period, all related commissions arereversed in full. Your StaffWallet balance will be decremented accordingly. No commission is payable on refunded transactions.

Chargeback Reversal

If a transaction results in a payment chargeback, all related commissions are reversed in full. Commission reversal due to chargeback is final and non-negotiable.

Gateway Fee Deduction

Subscription, top-up, and product commissions are calculated on net revenue after a 4.5% PayPal gateway fee deduction. Advertising commissions are calculated on the gross advertising fee with no gateway fee deduction.

Self-Referral Prohibition

You may not earn commissions on your own purchases or registrations. Self-referral is strictly prohibited and will result in commission cancellation and account suspension.

Duplicate Commission Prevention

Each transaction generates one commission set per eligible recipient only. Duplicate commissions are not permitted.

7. StaffWallet & Withdrawal Rules

• All commissions are credited to your StaffWallet as pending balance
• Commissions become available after the 30-day holding period passes
• Withdrawal requests must be submitted through the Staff dashboard
• Minimum withdrawal threshold applies (see dashboard)
• Payouts require a valid and verified payment method
• The Company reserves the right to withhold payouts pending fraud review
• Processing times apply as stated on the platform

8. Programme Separation Clause

This Staff Sales Representative Programme is entirely separate from the VitaeGene Affiliate Programme. Affiliate commission rates (8%/2%/0.5% subscriptions, 10% advertising, 5% product) are not affected by this programme. Staff Sales Representative commission rates (6%/1%/0.5% subscriptions, 8% advertising direct, 4%/1%/0.5% product) apply exclusively to participants enrolled in the Staff Sales Representative Programme.

A person enrolled in the Staff Sales Representative Programme does not automatically become a VitaeGene Affiliate under this programme, and vice versa.

9. Prohibited Activities

You are strictly prohibited from:

• Self-referral or circular referral manipulation
• Creating fake accounts or fake signups to inflate commissions
• Spam (email, SMS, WhatsApp broadcast without consent)
• Misleading advertising or false income claims
• Cookie stuffing or click fraud
• Impersonating VitaeGene or its employees
• Making unauthorized medical or health claims
• Accepting payments from customers outside official channels

10. Anti-Fraud & Manipulation Prevention

Fraudulent referral activities will result in immediate commission cancellation, wallet freeze, and account termination. All commissions earned through fraud are recoverable by the Company. The Company reserves the right to audit any account at any time. Detected fraud may result in legal proceedings.

11. Termination

Staff Sales Representative status may be revoked by Administration for policy violations, fraud, misconduct, or inactivity. Upon termination:

• All pending commissions will be reviewed for eligibility
• Available balance remains withdrawable subject to review
• Commissions earned through fraud are forfeited

12. Governing Law

This agreement is governed by the laws of Sri Lanka. Disputes shall be resolved through mediation before any formal legal proceedings.
